MINUTES OF SPECIAL MEETING

AUGUST 7, 2004

Moderator Susan Schneider called the meeting to order at 11:45 a.m. and asked the Clerk to read the Warrant.

It was determined that a quorum of at least 15 members was present.

Article 1: Election of officers. The Moderator called for nominations from the floor for the position of Non-Resident Alternate. Blanche Lennington nominated Howard Lerner. Hugh Powers seconded the nomination. There being no further nominations, the nominations were closed and the Moderator cast one vote for Howard Lerner.

The Moderator called for nominations from the floor for the position of Resident Alternate. Blanche Lennington nominated Robert Ronzio. The nomination was seconded by Steven Rosenthal. Hugh Powers nominated Susan Schneider. The nomination was seconded by Patricia Bensen. Gail McGeer nominated Charles Clemons. The nomination was seconded by James Fennell.

Votes were taken by paper ballot. The tally on the first vote was four votes for Susan Schneider, ten votes for Charles Clemons, and thirteen votes for Robert Ronzio, and one abstention. Since there were not sufficient votes for any one candidate, Susan withdrew her nomination and a second vote was taken with the following results: Charles Clemons received twelve votes; Robert Ronzio was elected with sixteen votes.

There being no further business to be conducted, Moderator Schneider moved to adjourn.

The meeting was adjourned at 12:21 p.m.
